Korinza Terms of Service

1. Acceptance of Terms
By accessing or using Korinza ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Korinza is a risk and compliance management platform designed to help organisations identify, quantify, and manage operational, regulatory, and financial risks. The Service includes tools for risk registers, compliance frameworks, policy management, vendor risk assessment, audit management, and related features.
3. Account Registration and Access
Access to the Service is by invitation only during the current early access period. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@korinza.com of any unauthorised use of your account.
4. Acceptable Use
You agree not to use the Service to: violate any applicable law or regulation; upload or transmit malicious code, viruses, or harmful content; attempt to gain unauthorised access to other accounts or systems; reverse engineer, decompile, or disassemble any part of the Service; use the Service to provide competing services to third parties without our written consent; or scrape, harvest, or collect data from the Service in an automated manner without our written consent.
5. Your Data
You retain ownership of all data you upload to or create within the Service ("Customer Data"). By using the Service, you grant Korinza a limited licence to process your Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties. 6. Intellectual Property
The Service, including its software, design, and content (excluding Customer Data), is owned by Korinza and protected by intellectual property laws. Nothing in these Terms transfers any ownership rights to you. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.
7. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Korinza does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. The Service does not constitute legal, compliance, financial, or professional advice. Compliance scores and risk assessments reflect the completeness of your documented programmes only and should not be relied upon as a substitute for qualified professional advice.
8. Limitation of Liability
To the maximum extent permitted by law, Korinza shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid to us in the twelve months preceding the claim.
9. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you violate these Terms. Upon termination, you may request an export of your Customer Data by contacting support@korinza.com. We will retain your data for 30 days after termination before deletion.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice within the Service. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
